Welcome to Keeps & Tales. These Terms and Conditions (“Terms”) govern your access to and use of our website, services, and any content provided by the Company.

Acceptance of Terms: By using our services, subscribing to our emails, or purchasing any of our paid offerings, you agree to be bound by our Terms & Conditions and Privacy Policy.

1. Eligibility
Only individuals who are 18 years of age or older may use our services. If you are under 18, you are not permitted to access or use the site.

2. Types of Users
2.1. Guest: An individual who views publicly available content on the website.
2.2. Member: A user who has opted in to receive newsletters, marketing communications, or has become a Keeps & Tales Customer.
2.3. Keeps & Tales Customer: An individual who has purchased one or more paid services offered by the Company.

3. User Accounts and Responsibilities
3.1 It is the Members and Keeps & Tales Customer’s responsibility to understand the Keeps & Tales process https://keepsandtales.com/process/. If there are any questions or concerns, please contact us hello@keepsandtales.com.
3.2 Members and Keeps & Tales Customers are responsible for maintaining the confidentiality of account login credentials and for all activities that occur under their account. You must notify us immediately of any unauthorized use or breach.
3.3 Regarding the digital preview Keeps & Tales Customers will have access using the Keeps & Tales account, where they can view the digitized art under the Digital Art Gallery tab. Where they can review and approve. It is the Keeps & Tales Customer’s responsibility to review the drafts and submit approval. We will email you when the digital preview is available and when all proofs are complete, we will request you to approve. Without approval the Company cannot finalize the process to deliver a finished product. Customers have 14 days to review and approve digital previews. If no response is received within this period, the Company may proceed with production based on the submitted artwork.

4. Payment and Billing Terms
The cost of the Keeps & Tales service is split into two payments:
4.1 First Payment – This covers your KT, which includes everything you need to safely send us your artwork. The KT Box costs AED 89 and includes everything you need to get started: a sturdy box, detailed instructions on how to organize your artwork, and a prepaid return shipping label. Please note: This initial payment is not a deposit and does not cover any photography, editing, or book/mosaic production costs. Those are billed separately after we receive and process your artwork.
4.2 Second Payment – This covers the photography, editing, digitization, and the production of your custom book(s) or mosaic(s). Shipping included. Once we receive your artwork and complete the photography, a second payment will be required. This amount is based on the number of pieces you send and how many books you’d like to create. You can estimate your total using the pricing slider (price reflects the 11.5”x8” Art Book) on our website. Every piece you send to us is included in your final payment. Removing pieces after submission will not reduce your cost. Please note: The first payment is for the box only and does not include any product or service fees beyond shipping. Once we’ve photographed your artwork, you’ll receive a second invoice based on the number of pieces and products you’ve selected.

5. Cancellation
5.1 Canceling Account: You can cancel your KT account any time.
5.2 Cancel Order: The KT Box purchases are eligible for a same-day refund, minus a 10 AED cancellation fee. Please note: Once the KT Box has been shipped from our studio, the initial 89 AED payment is non-refundable.

6. Credit Note Eligibility
Since most of our products are custom crafted and created, unlike traditional products and services. We offer credit note for the same value under the following circumstances:
6.1.1 Service Not Delivered: If you purchased a paid service and did not receive access or delivery within the specified time frame, you may request a full refund.
6.1.2 Duplicate Charges: If you were charged more than once for the same service, we will provide a credit note for the duplicate charge(s). Note: We do not offer credit note for change of mind, partial use of services, or dissatisfaction with subjective content, unless otherwise specified.
6.1.3 How to Request a Credit Note: To request a credit note, please email us at hello@keepsandtales.com with the following details: Full name and email address associated with the purchase, Date of purchase, Reason for credit note request, Order reference or receipt (if available). We aim to respond within 5–7 business days.

7. Security of Your Personal Information
7.1.1 We take the security of your Personal Information seriously and implement industry-standard practices to help protect it. These measures include but are not limited to:
7.1.2 Restricting access to your Personal Information to only those employees who need it in order to provide services to you.
7.1.3 Storing your Personal Information on secure systems designed to prevent unauthorized access, use, or disclosure.
7.1.4 No Guarantee: While we are committed to safeguarding your data, no method of transmission over the internet or method of electronic storage is completely secure. Therefore, we cannot guarantee its absolute security.
7.1.5 Passwords: It is your responsibility to maintain the confidentiality of your password and to protect it from unauthorized use.
7.1.6 Lost or Stolen Information: You must update us immediately, if your username or password is lost, stolen, or used without your authorization. Upon notification, we will deactivate the affected credentials and take appropriate steps to secure your account.

8. Intellectual Property
8.1 Company-Owned Assets: All content, branding, design, and materials associated with Keeps & Tales—including the names “Keeps & Tales,” the “KT” monogram, the Company’s visual identity, and the look and feel of our digital and printed materials—are the exclusive intellectual property of the Company. These assets are protected by UAE and international laws governing copyrights, trademarks, and trade secrets.
8.2 Contributions and Suggestions from Users: Any ideas, comments, suggestions, or other input you voluntarily provide to the Company regarding our Website, offerings, or brand will be treated as our property once submitted. You understand and agree that we may use, adapt, or share your input without compensation or acknowledgment, and we are not obligated to keep such input confidential.

9. Limitation of Liability
9.1.1 Under no circumstances shall the Company be liable for any indirect, incidental, special, exemplary, or consequential damages—including but not limited to loss of business, revenue, anticipated profits or other economic advantage—even if the Company was advised of the possibility of such losses.
9.1.2 The Company’s total liability to you or any third party for any claims, losses, or damages arising out of or related to these Terms and Conditions, the services, or the content shall not exceed the amount you paid for the specific product or service purchased through the website.
9.1.3 The Company will exercise reasonable care and industry-standard practices to protect all artwork provided by users, acknowledging the sentimental and potentially irreplaceable nature of these items. While the Company cannot guarantee against all forms of damage, the Company’s liability is limited for damage resulting from: (i) pre-existing conditions or fragility of the artwork that were not disclosed or reasonably apparent, (ii) normal wear and tear from careful handling during the digitization process, or (iii) inherent vice or deterioration of materials beyond our control.

10. Indemnification
You agree to indemnify, defend, and hold harmless Keeps & Tales, its employees, and service providers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, damages, losses, costs, expenses, and legal fees, including reasonable attorneys’ fees, arising out of or in connection with:
10.1.1 Your Use of the Services: Any use of the Keeps & Tales website, content, products, or services that violates these Terms, applicable laws, or infringes on the rights of others.
10.1.2 User Content and Submissions: Any content you submit, post, transmit, or otherwise make available through the Site or to the Company, including any infringement of intellectual property, privacy, or other rights of a third party.
10.1.3 Breach of These Terms: Your violation of these Terms of Use, the Privacy Policy, or any other agreement between you and the Company.
10.1.4 Violation of Law or Third-Party Rights: Any breach of applicable laws, regulations, or rights of any third party (including other users or service providers) that occurs in connection with your use of the Website or services.
10.1.5 Fraud or Misconduct: Any fraudulent, negligent, reckless, or intentionally wrongful act or omission by you or anyone using your account credentials.

11. Force Majeure
Definition: Neither party shall be liable for any failure or delay in performance under these Terms which is due to circumstances beyond their reasonable control, including but not limited to: Natural disasters, floods, earthquakes, or severe weather conditions; War, terrorism, civil unrest, or government actions; Pandemic, epidemic, or public health emergencies; Labor strikes, lockouts, or other industrial disputes; Power outages, internet failures, or telecommunications disruptions; Shipping delays or transportation disruptions beyond our control; Supplier failures or material shortages.
11.1.1 Notice and Mitigation: The affected party must promptly notify the other party in writing of the force majeure event and use reasonable efforts to minimize the impact and duration of such event.
11.1.2 Suspension and Termination: If a force majeure event continues for more than 60 days, either party may terminate the affected order or service with written notice. In such cases, you will receive a full refund for any prepaid services not yet provided, minus any costs already incurred by the Company.

12. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will provide 30 days advance notice via email. Changes will be effective upon posting, except for customers with active orders, who will complete their service under the previous terms. Continued use of the site after the effective date constitutes acceptance of the updated Terms.

13. Dispute Resolution Process
13.1.1 Initial Resolution: If you have any disputes, concerns, or complaints regarding our services, please first contact us at hello@keepsandtales.com. We are committed to resolving issues promptly and fairly through direct communication.
13.1.2 Mediation: If we cannot resolve the dispute through direct communication within 30 days, either party may request mediation through the Dubai International Arbitration Centre (DIAC) or another mutually agreed mediator in the UAE. The costs of mediation shall be shared equally between the parties.
13.1.3 Arbitration: If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration in Dubai, UAE, under the rules of the Dubai International Arbitration Centre (DIAC). The arbitration shall be conducted in English, and the decision of the arbitrator shall be final and binding on both parties.
13.1.4 Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the UAE.

15. Service Termination
Termination by Customer: You may terminate your account and cancel services at any time by contacting us at hello@keepsandtales.com, subject to the cancellation and refund policies outlined in Section 6.
15.1.1 Termination by Company: We may suspend or terminate your access to our services immediately, with or without notice, if you: Violate these Terms or our Privacy Policy; Provide false or misleading information; Engage in fraudulent or illegal activities; Abuse our customer service or staff; Fail to pay required fees after written notice; Use our services in a way that harms our business or other customers.
15.1.2 Effect of Termination: Upon termination: Your access to digital galleries and account features will be suspended; Any artwork in our possession will be returned to you at your expense; Outstanding payments for completed services remain due; These Terms will remain in effect for any pending obligations.
15.1.3 Data Retention After Termination: After account termination, we will retain your personal information and digital files for 30 days to allow for account reactivation. After this period, all data will be permanently deleted, except as required by law.

16. Shipping Terms and International Service
16.1.1 UAE Domestic Shipping: Free shipping is included for all completed orders within the UAE. Standard delivery time is 2-3 business days after final approval. Express shipping options may be available for an additional fee.
16.1.2 International Shipping: International shipping is not currently available. We only ship physical products within the UAE. (Note: While we use international payment processors and service providers as outlined in our Privacy Policy, all physical deliveries are limited to UAE addresses only.)
16.1.3 Artwork Return Shipping: The KT Box includes prepaid return shipping for UAE customers. We will provide packaging and handling instructions for safe artwork return.
16.1.4 Shipping Limitations: We do not ship to countries under UAE trade restrictions or sanctions. Current shipping availability only within the UAE.
16.1.5 Risk of Loss: Risk of loss and title for completed products passes to you upon delivery to the shipping carrier. If there are lost items we will make a claim on your behalf with the shipping company.
16.1.6 Damaged or Lost Shipments: If your order arrives damaged or is lost in transit, please contact us within 7 days of expected delivery. We will work with the shipping carrier to resolve the issue and may provide replacement services at no additional cost.
